企业并购动因理论一般涉及到四种经济学理论：新古典综合派理论、协同效应假说、委托—代理理论以及新制度经济学中关于并购的理论，下面将分别加以综述。一、新古典综合派有关并购动因的理论新古典综合派有关并购动因的理论主要有规模效益理论、市场力假说及税赋效应理论。规模效益理论是指在一特定时期内，企业产品绝对量增加时，其单位成本下降，即扩大经营规模可以降低平均成本，从而提高利润水平。并购可以在两个层次上实现企业的现模效益，即产量的提高和单位成本的降低。并购给企业带来的内在规模经济在于:通过并购可以对资产进行补充和周整：横向并购可实现产品单一化生产，降低多种经营带来的不适应；纵向并购，将各生产流程纳入同一企业，节省交易成本。并购的外在规模经济在于：并购增强了企业整体实力，巩固了市场占有率，能提供全面的专业化生产服务，更好的满足不同市场的需要。市场力假说将企业并购的动因归结于并购能够提高市场占有率。由于市场竞争对手的减少，优势企业可以增加对市场的控制能力。但市场占有率的提高并不意味着规模效益的达成，只有在横向或纵向并购中，优势企业既增加了市场占有率，又达成了规模经济，这一假说才能够成立。税赋效应理论认为并购是由于一个企业有过多的账面盈余，因而必须承担高额税收，为减轻税收负担而采取的行为。被兼并企业往往由于税收负担过重无法持续经营而出售。由于亏损可以在若干年内税前弥补，一个有高额盈余的企业并购一个亏损企业，无疑会带来税收的好处。二、协同效应假说由Weston提出的协同效应理论认为公司并购对整个社会而言是有益的，这主要通过协同效应体现在效率的改进上。所谓协同效应，是指两个公司实施并购后的产出比并购前两个公司产出之和要大，即2+2>4。对于并购公司而言,2+2>4的效应主要体现在经营协同效应、财务协同效应、管理协同效应等方面，该假说主要为企业间的横向并购提供了理论基础。（一）经营协同效应主要来源于规模经济和范围经济通过并购方式可以扩大企业生产规模，达到规模经济的生产范围，从而降低生产成本。该理论的假设前提是，在行业中存在着规模经济，并且在企业并购活动之前，公司的经营水平和经营规模都达不到实现规模经济的潜在要求。范围经济指企业能够利用现有产品的生产销售经验以较低的成本生产相关的附加产品。（二）财务协同效应的来源主要是可以取得较低成本的内部融资和外部融资例如，合并公司的举债能力可能大于合并前各个公司之和，从而可带来税收上的节约，或者举债成本更低，从而可带来财务费用上的节约。该理论隐含的假设前提是，企业并购活动产生的税收减免大于并购成本，但是这种情况只有在特定的条件下才会出现。（三）管理协同效应主要来源于管理能力层次不同的企业合并所带来效率的改善假设两个公司的管理效率不同，在高管理效率公司并购另一个公司之后，通过资产重组、业务整合，可以改善低效率公司的管理效率以创造价值。三、委托—代理理论代理问题的产生是由于公司管理层与股东两者的利益是不一致的，其根本原因在于管理者（决策或控制代理人）和所有者（风险承担者）之间的合约不可能无代价地签订和执行，由此而产生了代理成本。该理论对企业并购动因的解释可归纳为以下三点：（一）并购可以降低代理成本公司的代理问题可经由适当的组织设计解决，即当公司的经营权与所有权分离时，决策的拟定和执行与决策的评估和控制应加以分离，前者是代理人的职权，后者归所有者管理，这是通过内部机制设计来控制代理问题。而Manne（1965）认为收购事实上可以提供一种控制代理问题的外部机制，当目标公司代理人有代理问题产生时，收购或代理权的竞争可以降低代理成本。另一方面，Fama和Jensen（1983）提出的自由现金流假说认为与管理者和股东之间在自由现金流支出方面的冲突联系在一起的代理成本是并购活动的一个主要原因。（二）经理主义Mueller（1969）提出的经理主义假说认为代理人的报酬决定于公司的规模，因此代理人有动机通过收购使公司规模扩大，而忽视公司的实际投资收益率。但Lewellen和 Huntsman（1970）的实证分析表明，代理人的报酬与企业利润率相关而与销售水平无关，此结果与Muller的假设相反。持反对意见者则认为收购本身实际就是代理问题的表现形式，因为公司管理层可能会为了其自身利益而做出损害股东利益的并购决策。（三）自大假说Roll（1986）提出的自大假说认为，并购企业决策者过多地关注目标企业的未来价值，从而忽视或有意回避两家公司合并后可能产生的负面协同作用，而并购企业的过高估价来自于自大——他们的过度自信。这一理论的提出，从一个侧面增加了人们对企业并购动机的认识。这意味着企业管理者的意图是增加企业的资产，但其决策违背了股东的利益,并购价格过高。四、新制度经济学关于并购的理论新制度经济学认为并购的动因在于对并购后公司潜在效率的追求，包括节约交易费用、效率最优化等。Coase（1937）提出的交易费用理论为理解公司并购提供了一个较有解释力的基础。交易费用理论认为推动企业兼并有两种基本力量：一是技术关联性决定的兼并，二是存在垄断和寡头的兼并，即“技术决定论”和“市场缺陷论”。商品经济的交易方式分为两种：一种是交易市场的交易，一种是企业内部交易。市场交易发生在企业之间，由市场来调节、控制，这种交易存在很大的不确定性，风险大，费用也高。因此，通过纵向兼并能够将上游产品和下游产品纳人同一企业组织结构内，可降低市场交易费用，达到最终降低成本的目的。Williamsion（1951）进一步发展了 Coase的理论，深入研究了企业“纵向一体化”问题，认为纵向一体化有效地削弱了人的机会主义和有限理性，克服了环境的不确定性。尽管西方的企业并购动因在一定程度上能够解释我国的部分并购活动,但我国的企业并购动机仍存在自己的特色。如我国有的企业并购的原始动机就是为了迎合主管部门解决长期存在的亏损企业问题、解决财政的沉重负担和支持优势企业发展等要求。另外有的企业并购动机受资本市场限制，买壳上市成为部分企业并购的动机。
