这两个单词是近义词。尽管在有些语境里可以换用，如 a prominent member of the Law Society 也可以说成 an outstanding member of the Law Society，但这两个单词在词义侧重面上还是有差别的。outstanding 表达层次、水平上的整体“突出”，而 prominent 的基本词义是“冒尖”。

近日学习UCC Article 9，看到一个说法： 这里的outstanding如何翻译？ 总不会是“未偿还的”或“流通的”吧？ 平时接触的outstanding，基本上就这两个意思，如： 这是“未偿还”的意思。 再比如： 这里是“流通的”意思，多用于股票和证券。 Security interest是“担保权”，从结构上来看，倒是和债务有点类似，是一种“负担”。 从这点来讲，它也可以用outstanding的“未决”的核心意思来修饰。 而且，outstanding还经常用来修饰诉讼或仲裁，就是unresolved的意思。 不过，从法言法语的角度来看，outstanding security interest翻译成“有效的”担保权，似乎更为妥帖。 《布莱克法律词典》里面只给出了两个义项。看来词典框定不了词语的使用。 在我以为弄明白的时候，出现一个神转折，似乎推翻了上面的“有效的”译法。 也不能说完全推翻，只是出现了预料之外的一层含义。 查了另外一部词典，给出如下含义： 简单翻译一下，就是说：担保的债务已经清偿，担保尚未解除，这种担保就叫outstanding。 这也就是布莱克给出的uncollected释义所指的情况吧？ 不过，是否要局限于这么窄？或者也可以形容债务清偿之前存在的担保，也不一定。 来看这句outstanding security interest的原话： 大意是说，后续债权人通过检索，可查看在先担保情况。 这里没说担保一定是“债务清偿后仍未解除的担保”。
