被审计单位与受托经济责任的关系受托经济责任关系的另一种说法就是企业所有权和企业管理权的分离，企业管理者并不是企业的所有者，所有者通过委托管理者来管理企业。比如国有企业之国家与企业管理者；上市公司之股东与企业管理者，在这种情况下，企业所有者为了对企业管理者进行有效的监督，才促成了审计的产生和发展。[摘 要] 审计关系是包括审计委托人、审计人(审计受托人)、被审计人的三方关系，其中包括双重代理关系，其一是审计委托人与被审计人的管理或经营代理关系，其二是审计委托人与审计人的审计代理关系。应采取有效对策解决审计关系中存在的代理成本问题以及各有侧重的个性化问题。　　[关键词] 审计关系；受托责任；委托代理　　一、引言　　近年来，我国会计审计界对“受托责任”可以说是耳熟能详，对“委托代理”也并不陌生。理论界对其的研究多见于理论结构整体框架中对审计产生动因的分析，对多角度审计关系的研究相对较少，且多集中于独立审计领域，而审计关系的研究对审计主体的行为选择、审计目标、审计质量的研究都有着重要的意义。笔者拟从权责对等的角度对审计关系中的受托责任与委托代理进行深入分析，并对审计关系中存在的问题进行初步探讨。　　二、文献综述　　受托责任论：国内学者王光远(2004)认为，一般受托责任关系涉及两个当事人。一个是委托人(princi.pal或the accountee)；另一个是受托人(the accountor)或代理人(agent)。委托人将资财的经营管理权授予受托人，受托人接受托付后即应承但所托付的责任，这种责任就是受托责任。外部审计的发生与发展以组织外部的受托责任为基础，而内部审计的发生与发展则以组织内部的受托责任为基础。林钟高等人(2002)认为，受托经济责任是揭示独立审计需求的本源。审计作为一项独立的经济监督活动，因受托经济责任的产生而产生，并伴随着受托经济责任的发展而发展。蔡春(2001)认为，审计的本质目标即是确保受托经济责任的全面有效履行。项俊波(2002)、尤家荣(2002)认为审计是由受托经济责任关系产生的。　　Tom．1ee(1993)认为，受托责任产生了审计，审计正是履行受托经济责任的手段。David.flint(1988)明确指出，审计是为确保受托责任履行的一种社会控制机制。审计人员和审计策略的制定者的责任是：不断发现什么是社会需求，社会对独立审计赋予什么期望，并在实务和经济限制的范围内，努力满足社会需求。　　委托代理论：孙铮、姜秀华(1997)将委托代理理论引入民间审计的研究中，深入分析了委托代理关系与民间审计质量、收费等的关系。郝振平(2000)认为，审计关系是指一项审计行为必然涉及的审计人、被审计人和审计授权人或委托人三方之间所形成的经济责任关系。审计委托人与被审计人构成一种代理关系，与审计人构成另一种代理关系。由审计委托人、审计人和被审计人构成的多代理人关系中，审计委托人和审计人的代理关系以审计委托人和被审计人之间代理关系的存在为前提和必要条件，这和受托经济责任关系理论对审计产生和存在的解释是一致的。　　Antle(1984)，Baiman，Evans，and Naga raian(1991)运用静态多代理人道德风险模型；Chi Wen JevonsLee and Zhao Yang Gu(1998)则建立了动态多代理人道德风险模型。Watts and Zimmerman(1986)也引入了代理理论进行分析，解释了对审计师独立性的强调和会计职业协会以及大型审计事务所的存在理由。　　三、审计关系的理论分析：受托责任还是委托代理　　(一)受托责任与委托代理的涵义　　受托责任(Accountability)也译为受托经济责任，目前尚无统一定义，以下引用一些权威性解说加以分析。日本《新版会计学大词典》认为，受托经济责任即是一定的经济主体赋予其财产管理者保管和运用所有财产的权限，并要求他们负起管好、用好这些财产的责任。美国总审计局认为，政府的受托经济责任是指受托管理并有权使用公共资源的政府和机构向公众说明其全部活动情况的义务。加拿大审计长公署认为，受托经济责任是指对授予的某项职责履行义务，作出问答，它假设至少存在两方：一方赋予职责；另一方接受这一职责，并承担责任，对履行职责的方式作出报告。最高审计机关国际组织认为，受托经济责任是指授予一个被审计个人或实体的责任，显示他已经根据资金提供者的条件对委托给他的资金进行了管理或控制。最高审计机关亚洲组织认为，公共经济责任意指受托管理公共资源的个人或当局报告资源管理情况和说明其履行所承担的财务、经营和计划责任的义务。《科勒会计师词典》对受托经济责任的解释是：(1)雇员、代理人或其他人员定期地令人满意地报告其是否按照授权行事的义务；(2)以货币形式、财产单位或其他预定标准来计量对他人承担的责任或义务；(3)按照法律、规则、协定或惯例的要求证实完善的管理、控制或其他职能的义务。　　从以上解说中，我们可以总结出以下四点：第一，受托责任的主体，即委托人包括“一定的经济主体”、“公众”。第二，受托责任的客体，即受托人包括“财产管理者”、“政府”、“被审计个人或实体”、“受托管理公共资源的个人或当局”、“雇员、代理人或其他人员”。第三，受托责任的内容包括“管好、用好财产”、“管理使用公共资源”、“履行义务、作出报告”、“管理或控制资金”。第四，受托责任的本质是“责任”或“义务”。这里的“责任”即行为人的“份内之事”。“义务”处于一种与权利相对应的被动的法律地位，在汉语中，义务一词的文义有“按义理务必应做之事”的意思。　　委托代理是代理理论中的概念。Coase(1937)是这样描述代理人不同于“仆人”或“雇员”的：“仆人有义务向主人或为主人的利益向其他人提供个人服务，否则这种关系就是一份商品的出售合同；主人有权亲自或通过另一个仆人或代理人控制仆人的工作。而代理人在工作或提供服务上并不受雇主控制。他必须计划和管理自己的工作以提供合同规定他提供的成果。Batt教授进一步指出：把代理人与仆人区别开来的并不是是否存在固定工资或所完成交易的佣金，而是代理人进行工作的自由。”　　自从Coase(1937)的价值被重新发现后，西方涌现了大量研究委托代理关系的文献，人们引用最多的是Jensen、Meckling(1976)认为“代理关系是一种契约，在这种契约下，一个人或更多的人(即委托人)聘用另一个人(即代理人)代表他们来履行某些服务，包括把若干决策权托付给代理人。如果这种关系的双方当事人都是效用最大化者，就有充分的理由相信，代理人不会总以委托人的最大利益而行动。”“还应注意到，即使不出现明显的委托一代理关系，只要在任何场合包含有两人或两人以上的合作性工作，就会出现代理成本。从这个角度看，我们对代理成本的定义及其对企业理论的重要涵义包括了这种关系，该关系与阿尔奇安和德姆塞茨(1972)在有关企业理论的论文中提出的班组生产的逃避责任和监督问题很接近。”　　从以上阐述中，我们可以得出以下结论：第一，委托代理关系的本质是契约关系。第二，委托代理双方是权责对等关系，即接受“决策权”，“履行某些服务”。第三，委托代理关系中的代理人与雇员或其他代理人的根本区别是“自由”，即委托代理关系中的代理人按照合同规定提供劳动成果是自己“计划和管理”的，是“不受雇主控制”的；而仆人、雇员或其他代理人是“有义务的”和“受雇主控制的”。　　(二)审计关系的理论分析　　审计关系是包括审计委托人、审计人(审计受托人)、被审计人的三方关系，其中包括双重代理关系，其一是审计委托人与被审计人的管理或经营代理关系，其二是审计委托人与审计人的审计代理关系，以下分别简称第一种代理关系和第二种代理关系。　　按照审计领域不同，我们把审计划分为国家审计、社会审计和内部审计。在国家审计领域中，审计委托人是代表公众的立法或行政机关，审计受托人是审计机关，被审计人是履行公共职责的其他国家机关或使用国有资本的企业。其中在第一种代理关系中，受托人“管理使用公共资源”履行职责，是其责任和义务，因此审计委托人与履行公共职责的其他国家机关或国有企业是受托责任关系(国有资本作为国家股投资的除外)；在第二种代理关系中，审计机关履行部门职责对被审计人进行审计，也是责任和义务，因此审计委托人与审计机关也是受托责任关系。　　在社会审计领域中，审计委托人是“所有者”、股东或股东代表，审计受托人是会计师事务所，被审计人是“经营者”。其中在第一种代理关系中，“经营者”履行受托经营职责，享有经营决策权，其在工作中是“自由的”、“不受雇主控制”的，双方是权责对等的契约关系，因此审计委托人与被审计人是委托代理关系；在第二种代理关系中，审计人按照与审计委托人签定的“业务约定书”提供服务，取得审计收费，显然他们之间是委托代理关系。　　在内部审计领域中，审计委托人是“所有者”、股东或股东代表，审计受托人是单位内审部门，被审计人是“经营者”。其中第一种代理关系与社会审计的第一种代理关系相同，审计委托人与被审计人是委托代理关系；在第二种代理关系中，单位内审部门履行部门职责进行审计与国家审计类似，因此审计委托人与审计机关也是受托责任关系。以上审计关系可用表格列示如下：　　首先，审计关系中无论是管理代理关系还是审计代理关系，无论是受托责任关系还是委托代理关系，都存在的最根本的共性问题是代理成本问题。由于信息不对称的存在，作为“经济人”，各审计关系主体都从个人利益最大化角度出发，做出有利于自身的选择。其次，审计关系中又存在着各有侧重的个性化问题。如在受托责任关系中，由于只强调了责任和义务，存在权责不对等的问题，因此在实践中应注意调动审计人的积极性，做好监督与激励的制度安排。在委托代理关系中，存在的突出问题是市场的问题，包括资本市场、经理人市场、审计市场等的市场失灵、诚信缺失、低价揽客甚至审计合谋等问题，对此要侧重于培育外部市场、有效的审计市场以及构建合理的委托代理关系等。如何解决好这些问题，归纳起来，笔者认为主要有以下几点：　　(一)加快培育外部市场，建立外部监督约束机制　　在对审计风险的研究中，人们发现较大经营风险是导致审计风险的首要因素，因此企业经营状况、经营者代理人职责履行情况，即管理代理关系的有效履行对降低审计风险、充分发挥审计的职能作用有着重要的影响。成熟的外部市场能够完善所有者与经营者的管理代理关系，对经营者起到有效的监督约束作用。外部市场包括资本市场、经理市场、接管市场等。我国目前的资本市场还不完善，流通股比例较小，外部监督弱化，投资者不够成熟，投机气氛较浓，资本市场对经营者的压力不够；董事会成员和经营者大部分是通过行政任命的方式产生的，经理市场还没有建立起来；股权转让往往通过协议转让或行政划拨的方式进行，兼并、收购和接管等市场机制尚未发挥作用。因此应加快培育外部市场，将竞争机制引入对经营者的任命，使得外部市场监督约束机制对经营者形成足够的压力，促使其认真履行代理人职责。　　(二)培育对高质量的审计需求，建设有效的审计市场　　众所周知，由于在相当长的时间内社会审计只是服务于国企改制的工具等制度性原因，上市公司质量不高，缺少对高质量审计服务的需求，甚至存在“劣币驱逐良币”的现象，因此导致一些会计师事务所降低审计质量以维持市场份额。对此政府应加强监管，引导建立审计质量评价体系，加大会计师事务所及注册会计师违规惩处力度，健全民事赔偿制度，同时加强对上市公司变更会计师事务所的约束，建立对上市公司的信用机制的激励，多角度培育上市公司需要、会计师事务所提供——高质量的审计服务的有效的审计市场。　　(三)完善公司治理机制，造就合格的审计委托人　　公司治理结构不合理和由此产生的审计关系失衡是一个世界性问题，但在我国表现得尤为突出。由于我国上市公司主要是由原国有企业改制而来，国有企业所有者缺位，上市公司的实际控制权被管理当局掌握，股东大会形同虚设，董事会成员与经理层人员往往相互兼任，监事会不过是个摆设，中小股东无法参与企业经营决策，监督管理当局的行为，由此造成了严重的内部人控制现象，原本应由所有者担任的委托人角色，实质上被经营者操纵，即演变成由经营者委托审计人对自己进行审计，由其决定事务所的聘任、审计费用等事项，由此导致审计关系的严重失衡，破坏了审计执业的根本——独立性。因此当务之急是完善公司内部治理机制，采用由独立董事为主的审计委员会来决定审计事项，造就合格的审计委托人。　　(四)加强监督与激励，降低代理成本　　我们知道，承担受托责任的审计受托人履行的是责任、义务，由于民主程度、内部管理的特点、职业的专业性强等因素决定的信息不对称的存在，其履行职责的过程中是否作为，作为的程度，不像社会审计那样有资本市场的验证和广大投资者的监督，其受托责任的履行情况难以考证，因此存在所谓的“谁来监督监督者”的问题。为解决受托责任关系中的逆向选择、道德风险等代理问题。应该在加强职业道德教育，逐步建立诚信机制的同时，着重加强对审计受托人的监督与激励，建立科学的审计质量考核体系，引入外部监督机制，完善审计受托人薪酬、职务等的激励机制，以降低代理成本，促使审计受托人尽职尽责地做好本职工作。
